MISSISSIPPI ORGANIZATION FOR ASSOCIATE DEGREE NURSING (M-OADN) BY-LAWS
ARTICLE I NAME
Section 1 This organization shall be known as the Mississippi Organization for Associate Degree Nursing (M-OADN). Section 2 The name of the organization shall officially be abbreviated as M-OADN.
ARTICLE II Vision and Mission Statement
Vision - M-OADN is a leader and advocate for associate degree nursing. Mission - M-OADN is the leading advocate for associate degree nursing education and registered professional nursing practice in Mississippi. It promotes collaboration in charting the future of healthcare education and delivery.
ARTICLE III MEMBERSHIP
Section 1. Eligibility for Membership.
The membership shall be open to individuals and agencies interested in the goals and objectives of the Organization. Section 2. Classification of Membership will be as follows:
a. Individual Members. Individual members are registered nurses who have an interest in associate degree nursing. They shall have all the rights of membership and shall have one vote.
b. Associate Members. Associate members are individuals other than registered nurses whohave an interest in associate degree nursing. Each associate member shall have one vote.
c. Retired Members. Retired members shall be individuals who have retired from practice. They shall have the all rights of membership and shall have one vote.
d. Agency Members. Agency members shall be composed of colleges, other institutions of higher education, and health care agencies/organizations that have an interest in associate degree nursing. Agency members shall have the right to appoint up to two delegates to membership meetings. These delegates shall the right to make motions and vote the equivalent of two total votes. Agency members shall not have the right to hold office.
ARTICLE IV ANNUAL DUES
Section 1. Annual dues shall be voted by the membership upon recommendation by the Board of Directors at the annual meeting. Section 2. The annual dues shall extend for one calendar year from the member anniversary date.
ARTICLE V MEETINGS OF THE ORGANIZATION
Section 1.Yearly meetings
a. The Organization shall meet annually.
b. Meetings shall be open to all members.
c. All members shall have an opportunity to address the membership. Section 2. Special meetings
Special meetings are called by the Board of Directors. Section 3. Notices The members will be notified of meetings by the Board of Directors 30 days in advance. Section 4. Quorum A quorum shall consist of a majority of officers and twenty-five (25) members or ten percent (10%) of membership whichever number is the smaller. Section 5. Voting
a. Each Individual, Associate, and Retired member shall be entitled to cast one vote at all meetings of the Organization.
b. Each Agency member shall be entitled to cast two (2) votes at all meetings of the Organization.
ARTICLE VI OFFICERS
Section 1. The officers shall consist of the following: President, President-Elect, Past President, Secretary, Treasurer, Public Relations Director, and Education Director.
Section 2. Eligibility. The President-Elect, Secretary, Treasurer, Public Relations Director and Education Director shall be elected from membership of this Organization.
Section 3 Terms of Office. The President-Elect shall serve one-year term as president-elect and two years as President. The President-Elect and Public Relations Director shall be elected during odd years. The Past President shall serve for a one year term. The Treasurer, Secretary and Director of Education shall be elected during even years and shall serve two years. All other officers will serve two years and be eligible for two consecutive elected terms which shall begin at the close of the annual meetings.
Section 4. Elections. Elections shall be held annually. In case of a tie vote, the election shall be determined by the Nominating Committee by lot. Members will vote on the bylaw change at the time of annual elections.
Section 5 Vacancies
a. In the event of a vacancy in the office of the President, the President-Elect or immediate Past President shall succeed to such office for the unexpired term.
b. Other vacancies shall be filled by the Board of Directors.
Section 6 Board of Directors. The Board of Directors shall be composed of the officers and the immediate past President, the Student Member-at-Large, an appointed Director-at- Large, and two appointed Student Advisors.
a. The Board of Directors shall conduct business of the Organization between annual meetings.
b. The Board of Directors shall arrange for a review of financial records every two (2) years.
c. The Board of Directors, with a 2/3rd vote, shall have the authority to remove from membership or office in the Organization, officers, committee members, and other members whose actions are not supportive of the goals of the Organization or who do not fulfill the duties of their office. Provisions shall be made for a fair hearing and an appeal process.
ARTICLE VII DUTIES OF OFFICERS
Section 1. President
a. The President shall preside at all meetings of the Board of Directors and general membership of this Organization and shall be responsible for carrying out actions of the membership.
b. The President shall serve as state representative to N-OADN.
c. The President shall perform such other duties as ordinarily pertain to this office and as listed in the M-OADN Policies and Procedures Manual.
. Section 2. President-Elect
a. The President-Elect shall preside in the absence of the President.
b. The President-Elect shall serve as coordinator of the Membership Committee.
c. The President-Elect shall also serve in such other capacity as the President may direct.
d. The President-Elect shall perform such other duties as ordinarily pertain to this office and as listed in the M-OADN Policies and Procedures Manual.
Section 3. Treasurer
a. The Treasurer shall be accountable for the funds of this Organization.
b. The Treasurer shall be responsible for the preparation of a proposed budget prior to the Annual Meeting for approval by the Board of Directors and the members.
c. The Treasurer shall also serve in such other capacity as the President may direct.
d. The Treasurer shall perform such other duties as ordinarily pertain to this office and as listed in the M-OADN Policies and Procedures Manual.
Section 4. Secretary
a. The Secretary shall keep an accurate record of all business proceedings of the Organization and the Board of Directors.
b. The Secretary shall also serve in such other capacity as the President may direct.
c. The Secretary shall perform such other duties as ordinarily pertain to this office and as listed in the M-OADN Policies and Procedures Manual.
Section 5. Public Relations Director
a. The Public Relations Director shall be responsible for public relations with regard to the Organization.
b. The Public Relations Director shall also serve in such other capacity as the President may direct.
c. The Public Relations Director shall perform such other duties as ordinarily pertain to this office and as listed in the M-OADN Policies and Procedures Manual.
d. The Public Relations Director shall be responsible for updating the website of this organization.
Section 6. Education Director
a. The Education Director shall serve in such capacities as the President or Board may direct and as listed in the
M-OADN Policies and Procedures Manual.
b. The Education Director shall be responsible for convention program planning.
c. The Education Director shall be responsible for planning yearly CE offerings.
Section 7. Director-at-Large (appointed)
a. The Director-at-Large shall be appointed by the President for a two year term.
b. The Director-at-Large shall serve as liaison to AACC and the MS Community College Board.
c. The Director-at-Large shall also serve in such other capacities as the President or Board may direct. Section 8. Student-Member-at-Large
a. The Student-Member-at-Large shall be the President of the Mississippi Organization for Associate Degree Nursing Student Association (MOSA).
b. The Student-Member-at-Large shall serve as the liaison between the MOSA and M-OADN Board of Directors.
c. The Student-Member-at-Large shall serve as the chair of the student portion of the State convention.
d. The Student-Member-at-Large shall serve as the student consultant to the Membership Committee.
Section 9 Past-President
a. The Past-President shall serve as advisor to the President and President-Elect.
b. The Past-President shall serve as state convention coordinator.
c. The Past-President shall also serve in such other capacity as the President may direct and as listed in the M-OADN Policies and Procedures Manual.
Section 10 Student Advisors
a. The Student Advisors shall be appointed by the President of M-OADN for two year staggered terms.
b. The Student Advisor shall serve as the liaison between MOSA and M-OADN.
c. The Student Advisor shall perform such other duties as ordinarily pertain to this office.
ARTICLE VIII COMMITTEES
Section 1. Committees. The standing committees are: Nominations, Public Relations, By-Laws, Membership, Legislative, and Education. Ad-hoc committees may be appointed by the Board of Directors as necessary to carry out the goals of the Organization.
Section 2. Nominations
a. The chairman and two (2) committee members shall be elected at the annual meeting for a one-year term. The chairperson shall be the individual receiving the greatest number of votes.
b. The purpose of the committee shall be to prepare a slate of officers with biographies for election.
c. Nomination Committee Chairman and members shall not hold a position on the Board of Directors.
Section 3. Public Relations Committee
a. The Public Relations Director elected on the odd year shall serve as chairperson.
b. The purpose of the committee shall be to coordinate publicity for the Organization.
c. The Committee shall publish a newsletter periodically.
d. Members shall be appointed by the committee chairperson.
Section 4. By-Laws Committee
a. The President shall appoint the chairperson.
b. The purpose of the committee shall be to review and update the by-laws as required to meet the needs of the Organization.
c. Members shall be appointed by the committee chairperson.
Section 5. Membership Committee
a. The President-Elect shall serve as coordinator and shall appoint the chairperson.
b. The purpose of the committee shall be to promote membership.
c. Members shall be appointed by the committee chairperson.
Section 6. Legislative Committee
a. The President shall appoint the chairperson.
b. The purpose of the committee shall be to:
(i) serve as a clearinghouse for state legislative activities.
(ii) advise the organization as to legislative activities.
(iii) provide effective testimony and serve as liaison to legislators.
(iv) Members shall be appointed by the committee chairman.
Section 7. Education Committee
a. The Education Director will serve as chairperson.
b. Members shall be appointed by the committee chairperson.
c. The purpose of the committee shall be to:
(i) assist the organization in promoting education and practice for associate degree nursing.
(ii) plan the educational program for the annual convention based on identified needs.
(iii) plan an annual continuing education offering.
Section 8. Ad Hoc Committees
The Board shall appoint other committees or task forces as necessary to carry out the purpose of the organization.
ARTICLE IX AMENDMENTS
Section 1. Revision/Amendments
a. The by-laws may be amended by mail vote if the membership has been notified prior to the business meeting and a majority vote is secured.
b. The Board of Directors shall make editorial corrections as necessary and shall advise the members of said corrections.
ARTICLE X PARLIAMENTARY AUTHORITY
Section 1. The rules contained in the latest edition of Robert's Rules of Order Newly Revised shall govern meetings.
ARTICLE XI
INDEMNIFICATION
Section 1 Every Director, Officer, Volunteer, and such others as specified from time to time by the Board of Directors, shall be indemnified by M-OADN against all expenses and liabilities including counsel fees, reasonably incurred or imposed upon them in connection with any proceeding to which they may be made a party, or in which they may become involved, by reason of having been a Director or Officer of M-OADN, or any settlement thereof, whether the person is a Director or Officer at the time such expenses are incurred, except in such cases wherein the Director or Officer is adjudged guilty of willful misfeasance or malfeasance in the performance of duties. The foregoing right of indemnification shall be in addition to and not exclusive of all other rights to which the indemnified may be entitled.
ARTICLE XII DISSOLUTION
Section 1 Procedure
a. This Organization may be dissolved by resolution of the membership passed by not less than two-thirds (2/3) vote of the members present.
b. Such actions must be presented in the State Newsletter prior to the annual meeting and voted at the annual meeting. Section 2 Dispersal of Assets
In the event of dissolution, all assets, real and personal, shall be distributed equally to state Associate Degree Nursing Programs for scholarships to Associate Degree Nursing students.
